Terms of Service

These terms govern access to and use of MagicFlow AI, including the website, dashboard, chatbot widget, AI features, lead capture tools, integrations and related services.

01Policy

Scope and Acceptance

These Terms of Service govern access to and use of MagicFlow AI, including the website, dashboard, chatbot widget, AI conversation features, lead capture tools, integrations, APIs, documentation, analytics, support resources and related services made available through MagicFlow AI.

MagicFlow AI is owned and operated by Magicworks IT Solutions Pvt. Ltd., a company situated in Pune, Maharashtra, India.

By accessing or using MagicFlow AI, creating an account, subscribing to a paid plan, embedding the MagicFlow AI widget on a website, or using any related service, you agree to these Terms. If you use MagicFlow AI on behalf of a company, agency, client, partnership or other organisation, you confirm that you are authorised to bind that organisation to these Terms.

02Policy

Definitions

  • Customer means the business, organisation, agency, website owner or individual subscribing to or using MagicFlow AI.
  • User means any person authorised by a Customer to access the MagicFlow AI dashboard, account, settings, reports, integrations or support channels.
  • End User or Visitor means a person who interacts with a MagicFlow AI chatbot, widget, lead form, conversation flow or embedded experience on a Customer website or digital property.
  • Customer Content means data, text, files, website content, URLs, FAQs, product information, pricing information, knowledge-base material, prompts, business information, chatbot instructions, leads, conversation logs, CRM fields, uploaded documents and other materials provided by or on behalf of the Customer.
  • Service Data means technical, operational, usage, log, analytics, attribution, account, billing and support data generated through use of MagicFlow AI.
  • AI Output means responses, recommendations, lead summaries, classifications, routing suggestions, generated replies, lead scores or other content produced by AI or automation features.
03Policy

About MagicFlow AI

MagicFlow AI is an AI-powered sales chatbot and lead-generation assistant designed to help businesses engage website visitors, answer questions, qualify leads, collect contact details, capture source attribution, score conversations, route enquiries and support faster follow-up.

Features may include 24/7 chatbot conversations, lead capture, qualifying questions, multilingual responses, campaign and UTM tracking, lead scoring, routing, sales notes, CRM or inbox handoff, analytics, custom branding, embed scripts, AI-generated summaries, integrations and managed launch support. Features may vary by plan, configuration, availability, usage limits, region and third-party integration.

04Policy

Eligibility and Account Registration

You may use MagicFlow AI only if you are legally capable of entering into a binding contract under applicable law. You agree to provide accurate, current and complete account, billing and business information.

You are responsible for maintaining the confidentiality of login credentials and for all activities under your account. You must promptly notify us if you suspect unauthorised access to your account, dashboard, API keys, chatbot settings, embed code or integrations.

We may refuse registration, suspend access or terminate accounts where we reasonably believe there is misuse, fraud, security risk, unlawful activity, non-payment or violation of these Terms.

05Policy

Customer Responsibilities

Customers remain responsible for their own websites, business practices, end-user relationships, legal compliance and configuration of the MagicFlow AI service.

  • Ensure that use of MagicFlow AI complies with applicable laws, including privacy, consumer protection, advertising, electronic communications, spam, data protection, tax and sector-specific laws.
  • Provide all required notices to website visitors, customers, leads, employees and end users.
  • Obtain all required consents before collecting, uploading, sharing, processing or using personal data through MagicFlow AI.
  • Ensure that your website privacy policy, cookie policy, consent banner, chatbot disclosure and lead forms accurately disclose your use of AI chatbots, tracking, analytics, cookies, CRM integrations and third-party processors.
  • Review and test chatbot answers, workflows, lead scoring, routing logic and integrations before deployment.
  • Ensure that Customer Content, prompts, instructions, product claims, pricing claims, offers, discounts, eligibility rules and business representations are accurate and lawful.
  • Monitor leads, AI outputs, escalations, automated responses and follow-up messages.
  • Prevent unauthorised access to the account, dashboard, embed code, CRM integrations, API keys and data exports.

You remain responsible for business decisions, follow-up actions, sales communications, commitments, offers, quotations, warranties and representations made to End Users.

06Policy

AI Features and Limitations

MagicFlow AI uses artificial intelligence, automation, natural language processing, machine learning, retrieval, rules, workflows, integrations and related technologies to generate responses and assist with lead engagement.

You understand that AI-generated content may be incomplete, inaccurate, outdated, unsuitable, biased, repetitive or unexpected. AI Output should not be treated as professional advice, legal advice, medical advice, financial advice, tax advice, compliance advice or a substitute for human judgment.

You are responsible for reviewing and approving AI configuration, knowledge sources, chatbot instructions, lead scoring criteria, routing logic and generated responses. Human review should be used for sensitive, high-value, regulated or high-risk conversations.

MagicFlow AI must not be used as the sole basis for decisions that may significantly affect a person's rights, access to services, employment, credit, health, legal position or financial status.

07Policy

Customer Content and Data Licence

You retain ownership of Customer Content. You grant MagicFlow AI a limited, worldwide, non-exclusive licence to host, store, copy, transmit, process, analyse, display and use Customer Content solely as necessary to provide, secure, maintain, support, improve and troubleshoot the services.

This licence includes processing Customer Content for chatbot configuration, retrieval, indexing, embeddings, AI response generation, conversation summarisation, analytics, lead scoring, routing, support, abuse prevention and service improvement.

We do not claim ownership of your uploaded business content, website content, conversation data, leads, CRM data or proprietary materials. You represent that you have all necessary rights, permissions, licences, notices and consents to provide Customer Content to MagicFlow AI.

08Policy

End-user Data and Customer Notices

If you embed MagicFlow AI on your website or digital property, you are responsible for informing End Users that they may be interacting with an AI-powered chatbot or automated assistant.

  • Their messages, contact details, business requirements, source information and submitted data may be processed to answer questions, qualify leads, route enquiries, create follow-up notes and support sales or customer service.
  • Cookies, scripts, pixels or similar technologies may be used for chatbot functionality, analytics, source attribution, security and user experience.
  • Data may be shared with service providers, CRM systems, email tools, analytics tools or other integrations configured by the Customer.
  • Sensitive personal data, payment card data, passwords, government IDs, health information, children's data or regulated personal data should not be collected through MagicFlow AI unless appropriate legal, security and compliance controls are in place.
09Policy

Prohibited Uses

You must not use MagicFlow AI to:

  • Violate any applicable law or regulation.
  • Send spam, unsolicited bulk messages, deceptive communications, phishing messages or fraudulent offers.
  • Collect personal data without valid notice or required consent.
  • Collect passwords, full payment card numbers, government IDs, health records, biometric data, children's data or other sensitive data unless expressly authorised by law and agreed by us in writing.
  • Upload or distribute malware, spyware, viruses, harmful scripts or malicious code.
  • Probe, scan, attack, overload, scrape, reverse engineer or attempt to bypass security controls.
  • Generate or distribute unlawful, defamatory, hateful, harassing, obscene, discriminatory, infringing, misleading or harmful content.
  • Impersonate another person or organisation.
  • Misrepresent products, pricing, refunds, warranties, guarantees, investment returns, medical outcomes, legal rights or business claims.
  • Use the service for regulated decision-making without appropriate human review and legal compliance.
  • Resell, sublicense, rent or white-label the service unless expressly permitted under a written agreement.

We may suspend or restrict access if we reasonably believe your use violates these Terms, creates risk or may harm the service, users, End Users or third parties.

10Policy

Subscriptions, Fees and Billing

MagicFlow AI may offer free, trial, monthly, annual, usage-based, managed, custom, agency or enterprise plans. Plan details, features, usage limits, AI credits, number of chatbots, number of leads, number of seats, integrations, support level, storage limits, branding options and pricing may be described on the pricing page, order form, proposal, invoice or written agreement.

By purchasing a paid plan, you authorise us and our payment processors to charge applicable subscription fees, setup fees, usage charges, taxes, renewal fees and other agreed charges. Unless stated otherwise, paid subscriptions renew automatically at the end of each billing period until cancelled.

You are responsible for all applicable taxes, duties, levies, GST, payment gateway charges, currency conversion charges, bank charges and withholding obligations, unless otherwise required by law. Failure to pay may result in restricted access, suspension, downgrade, deletion of features or termination.

11Policy

Free Trials, Beta Features and Early Access

We may offer free trials, beta features, pilot access, previews or experimental AI tools. Trial or beta features may be limited, unstable, changed, withdrawn or discontinued at any time. They may not be covered by service commitments, warranties or support obligations.

We may convert a trial to a paid subscription only where you have selected a paid plan, accepted payment terms or authorised billing.

12Policy

Integrations and Third-party Services

MagicFlow AI may integrate with third-party services such as hosting providers, AI model providers, payment processors, analytics tools, CRM systems, email tools, messaging tools, cloud platforms, APIs and communication channels.

Your use of third-party services may be governed by their own terms, privacy policies, pricing, usage limits, security practices and availability. We are not responsible for third-party services, outages, pricing changes, data loss, API changes, feature discontinuation or unauthorised access caused by third-party platforms outside our reasonable control.

You are responsible for configuring integrations securely and ensuring that data shared with third-party tools is lawful and appropriate.

13Policy

Support and Availability

We aim to provide reliable service and support, but we do not guarantee uninterrupted, error-free or fully secure availability unless a separate written service-level agreement applies.

The service may be unavailable due to maintenance, upgrades, security work, internet failures, cloud-provider issues, third-party outages, force majeure events, misuse or circumstances beyond our control. Support channels, response times, onboarding assistance, managed launch support and priority support may vary by plan.

14Policy

Intellectual Property

MagicFlow AI, including software, design, workflows, dashboard, code, models, prompts, systems, documentation, branding, logos, interfaces, analytics, templates, methods and underlying technology, is owned by Magicworks IT Solutions Pvt. Ltd. or its licensors.

No rights are granted except as expressly stated in these Terms. You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, scrape, reproduce or create derivative works from MagicFlow AI except as permitted by law or written agreement.

15Policy

Feedback

If you provide suggestions, ideas, feedback, bug reports, feature requests or improvement recommendations, you grant us a non-exclusive, worldwide, royalty-free right to use them without obligation to compensate you.

16Policy

Confidentiality

During use of the service, either party may receive confidential information from the other. Each party agrees to protect confidential information with reasonable care and use it only for the purpose of performing under these Terms. Confidential information does not include information that is publicly available, already known without restriction, independently developed or lawfully received from a third party.

17Policy

Privacy and Data Protection

Our processing of personal data is described in our Privacy Policy. Where you use MagicFlow AI for your own website visitors, leads or customers, you are generally responsible for determining what personal data is collected and why. MagicFlow AI processes such data to provide the service, subject to these Terms, our Privacy Policy and any applicable data processing agreement.

18Policy

Suspension and Termination

We may suspend or terminate access if you violate these Terms, payment is overdue, your use creates security/legal/operational/compliance risk, your account is involved in fraud or abuse, or suspension is required by law, court order, regulator, payment processor, cloud provider or third-party platform.

You may cancel your subscription as described in our Cancellation Policy. Upon termination, your right to use MagicFlow AI ends. We may retain or delete data according to our Privacy Policy, retention practices, legal obligations, backups and contractual commitments.

19Policy

Disclaimers

MagicFlow AI is provided on an "as is" and "as available" basis, except where expressly stated otherwise in writing. We do not warrant that the service will be uninterrupted, error-free, fully secure, fit for a specific purpose, compatible with every website, free from AI inaccuracies, or capable of generating a guaranteed number of leads, sales, conversions, revenue, rankings or business outcomes.

20Policy

Limitation of Liability

To the maximum extent permitted by applicable law, Magicworks IT Solutions Pvt. Ltd. shall not be liable for indirect, incidental, special, consequential, punitive, exemplary or loss-of-profit damages, including loss of revenue, business, goodwill, data, leads, opportunity, reputation or anticipated savings.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to MagicFlow AI shall not exceed the amount paid by you for the service during the three months immediately preceding the event giving rise to the claim, unless a different limit is required by applicable law or agreed in writing.

Indemnity

You agree to indemnify and hold harmless Magicworks IT Solutions Pvt. Ltd., its directors, employees, contractors, affiliates and partners from claims, damages, penalties, losses, liabilities, costs and expenses arising from your use of MagicFlow AI, Customer Content, your website or business, your failure to provide notices or obtain consents, your breach of law or these Terms, or your misuse of AI Output.

22Policy

Changes to the Service or Terms

We may modify the service, features, pricing, documentation, integrations or these Terms from time to time. Material changes will be communicated through the website, dashboard, email or other reasonable means. Continued use after changes become effective means you accept the updated Terms.

23Policy

Governing Law, Jurisdiction and Contact

These Terms are governed by the laws of India. Subject to any mandatory legal rights available to consumers or users, the courts located in Pune, Maharashtra, India shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or MagicFlow AI.
